However, demos must be understood as informational only — they do not replace a signed agreement or guarantee identical results in live environments. Clients remain responsible for reviewing their confidentiality needs, securing NDAs where required, and understanding that final deliverables are governed exclusively by the signed contract or SOW with Aditya CRM.

4. Client References & Case Studies

  • Only the final Proposal, Quotation, or SOW signed by both parties shall be considered binding.
  • Customers are advised to confirm specific features, integrations, or deliverables directly with Aditya CRM before entering into contractual commitments.
Non-Binding Nature of Public Content
  • Blogs, newsletters, case studies, or social media posts published by Aditya CRM are intended for general awareness and industry education.
  • Such public-facing content should not be interpreted as a guarantee, warranty, or contractual promise.
  • Illustrative examples, statistics, or results mentioned in marketing campaigns may vary depending on individual business use cases.
Commitment to Transparency
  • Aditya CRM is committed to clear communication and ensures that critical updates to pricing, licensing, or services are shared directly with Customers.
  • We periodically review and refresh our published information to reduce the chances of outdated material being circulated.
  • All official clarifications, corrections, or amendments are provided in writing through formal communication channels.

In summary, while Aditya CRM takes great care to ensure accuracy of all published and shared information, only the signed and mutually agreed Proposal, Quotation, or Statement of Work (SOW) shall prevail in case of discrepancies. Customers are encouraged to treat public or demo materials as informative and illustrative, but to rely solely on contractual documents for final commitments.

6. Third-Party Links & Services

The Aditya CRM (Devolyt Technologies Pvt. Ltd.) platform, including our website, CRM software, mobile apps, demos, and related services, may contain references, links, or integrations with third-party platforms. These may include but are not limited to: payment gateways, SMS/Email providers, cloud hosting companies, accounting tools, analytics services, telephony integrations, and third-party APIs. While these integrations are provided for the Customer’s convenience and business efficiency, Aditya CRM does not own, operate, or control these third-party services and therefore cannot guarantee their reliability, uptime, compliance, or security.

Independent Nature of Third-Party Services
  • Each third-party platform operates under its own Terms of Service, Privacy Policies, and Compliance Standards.
  • Customers are solely responsible for reviewing and agreeing to such third-party terms before using their services.
  • Aditya CRM cannot be held responsible for changes, updates, or discontinuation of any third-party product or API.
No Warranties on External Services
  • Aditya CRM does not provide any warranties or guarantees regarding the functionality, uptime, performance, or accuracy of third-party platforms integrated into the CRM.
  • If a third-party integration experiences downtime, errors, or compliance issues, the resolution lies solely with that provider.

Customer Responsibilities

  • SMS/Email Providers — Twilio, MSG91, Amazon SES, SendGrid, etc.

  • Some testimonials may be anonymized or generalized to protect client confidentiality.

  • Customer success depends on business model, industry practices, team adoption, and management support.
  • Results are also influenced by the quality of data, system configuration, and integration with other tools.
  • Training, employee commitment, and change management processes play a significant role in realizing CRM benefits.
  • External factors such as market trends, competition, and economic conditions may also affect actual outcomes.
Limitations of Case Studies
  • Case studies may showcase examples of sales growth, time savings, customer retention, or revenue improvement.

  • Such reviews are intended for educational and awareness purposes to help prospective clients understand benefits.
  • We do not offer compensation or incentives in exchange for positive testimonials unless disclosed transparently.
  • Any unauthorized or false testimonials are strictly prohibited and may be removed immediately upon verification.
Customer Responsibilities
  • Prospective Customers should conduct their own evaluation before purchasing Aditya CRM.

8. Intellectual Property Rights

All Intellectual Property (IP) rights in Aditya CRM software, source code, documentation, training materials, website content, logos, trademarks, and user interface designs remain the sole and exclusive property of Devolyt Technologies Pvt. Ltd., unless otherwise specified in a signed agreement. Customers are granted limited usage rights under their license, but ownership of the core intellectual property always remains with the Company.

Company Ownership
  • All software, frameworks, modules, templates, APIs, workflows, and technical documentation developed by Aditya CRM are fully owned by the Company.
  • The Company retains the right to reuse, modify, or enhance its proprietary codebase, modules, and designs in future projects for other clients.
  • Logos, branding elements, website content, and marketing assets are trademarks of Devolyt Technologies Pvt. Ltd. and cannot be reproduced without permission.
Customer Usage Rights
  • Customers receive only a non-exclusive, non-transferable license to use the delivered CRM strictly for their internal business operations.
  • The scope of usage is limited to the terms mentioned in the Proposal, Agreement, or Statement of Work (SOW).
  • Customers cannot rebrand, resell, or sublicense the CRM software unless they purchase a reseller or white-label license.
Source Code & Assets
  • Unless explicitly purchased (e.g., Premium Plan), source code is not transferred to the Customer.

Restrictions

  • Reverse engineering, decompiling, or attempting to extract source code is not permitted unless rights have been formally purchased.

9. Permitted Use & Restrictions

All CRM software, demo accounts, trial access, training materials, and related content provided by Aditya CRM (Devolyt Technologies Pvt. Ltd.) are licensed strictly for the internal business operations of the Customer. Customers are required to use these services responsibly, in compliance with the agreed license terms, and within the scope of their specific Proposal, Agreement, or Statement of Work (SOW). Misuse, unauthorized distribution, or exploitation of Aditya CRM’s intellectual property is strictly prohibited.

Permitted Use
  • Customers may use the CRM software to manage leads, sales, follow-ups, payments, HR, or other business operations as defined in their contract.
  • Authorized employees, agents, or staff of the Customer’s organization may access the CRM as long as they comply with the license terms.
  • Demo accounts, trial versions, and training content are provided only for evaluation or onboarding purposes and cannot be treated as production systems.
  • Clients may customize their licensed CRM modules (within scope) for internal usage, provided source code rights are not violated.
Restrictions
  • Customers may not resell, sublicense, rebrand, or white-label Aditya CRM software unless a formal Reseller or White-Label Agreement is signed.
  • Reverse engineering, code extraction, decompilation, or creating derivative products is prohibited unless explicit source code rights have been purchased.
  • The CRM must not be used for illegal, fraudulent, defamatory, or harmful activities, including spam campaigns, unauthorized financial transactions, or data exploitation.
  • Sharing CRM credentials with third parties or allowing competitors access to demos or live systems without approval is not permitted.
  • Using Aditya CRM to provide “software-as-a-service (SaaS)” offerings to external businesses without authorization is prohibited.

  • Legal action may be taken against Customers who engage in unauthorized resale, redistribution, or misuse of Aditya CRM intellectual property.
Examples of Acceptable & Non-Acceptable Use
  • Acceptable: Using Aditya CRM internally to manage your sales pipeline, HR processes, or property booking workflows.
  • Not Acceptable: Repackaging Aditya CRM under a different brand and selling it to third parties without authorization.
  • Acceptable: Training your employees using demo accounts and trial systems.
  • Not Acceptable: Sharing trial/demo access with outside organizations or competitors without Company approval.

In conclusion, Aditya CRM software and content are provided strictly for authorized, contractually-agreed usage. Customers enjoy full rights to operate the system within their business but must avoid resale, redistribution, or illegal activities. 10. No Warranty

Unless expressly stated in a written and signed agreement between the Customer and Aditya CRM (Devolyt Technologies Pvt. Ltd.), all software, services, demos, trial accounts, documentation, and related materials are provided strictly on an "AS IS" and "AS AVAILABLE" basis. This means Customers accept the software in its current condition, without expecting guarantees that it will meet every unique business requirement or operate without any interruptions.

Scope of Warranty Disclaimer
  • No implied warranties are provided regarding merchantability, fitness for a particular purpose, or non-infringement.
  • Aditya CRM does not guarantee that the CRM software or related services will be completely error-free, secure, uninterrupted, or available at all times.
  • The performance, speed, and reliability of the CRM may vary depending on hosting environments, internet connectivity, third-party integrations, and Customer-managed infrastructure.
Third-Party Dependencies
  • Any third-party services (e.g., payment gateways, SMS/email providers, hosting servers, or APIs) integrated into Aditya CRM remain the sole responsibility of those providers.
  • Aditya CRM cannot guarantee uptime, compliance, or error-free functioning of external services.
  • Failures caused by third-party platforms, even when integrated with Aditya CRM, are not covered by any warranty.
Limitations of Liability under No Warranty
  • Customers should not assume that trial/demo environments will exactly replicate production environments.
  • Business outcomes, performance improvements, or sales results claimed in case studies/testimonials are illustrative only and are not guaranteed.
  • Aditya CRM is not responsible for data loss, downtime, or damages caused by Customer misconfiguration, unauthorized modifications, or external server failures.
Customer Acknowledgment
  • By using Aditya CRM, Customers acknowledge that software inherently carries risks of bugs, downtime, or compatibility issues.
  • Customers must maintain backups, follow best practices, and ensure compliance with infrastructure requirements to minimize risk.
  • The responsibility for verifying whether Aditya CRM meets the Customer’s specific legal, operational, or technical requirements lies with the Customer.

In summary, unless specifically guaranteed in writing, Aditya CRM provides its products and services without any implied warranties. Customers must evaluate the CRM for suitability before adoption and cannot hold Aditya CRM liable for unmet expectations, third-party failures, or unforeseen technical limitations. This clause ensures transparency, reduces misunderstandings, and protects both the Company and the Customer in a fair and balanced manner.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Aditya CRM (Devolyt Technologies Pvt. Ltd.), including its directors, officers, employees, partners, and affiliates, shall not be held responsible for any damages or claims beyond what is expressly stated in this section. This clause ensures that both the Company and the Customer have a clear understanding of liability boundaries and risk allocation.

Maximum Liability
  • Aditya CRM’s aggregate liability, whether arising from contract, negligence, warranty, or any other legal theory, shall not exceed the total amount of fees actually paid by the Customer in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Any claim exceeding this limit will be automatically void and unenforceable.
  • This limitation applies regardless of the nature of the claim, whether contractual, statutory, or tort-based.
Exclusion of Indirect Damages
  • The Company is not liable for any indirect, incidental, punitive, or consequential damages.

  • Customers are solely responsible for maintaining backups, redundancy, and security of their data and IT infrastructure.

  • Aditya CRM shall not be liable for any damages resulting from the Customer’s failure to maintain proper data protection measures.
Risk Allocation

This limitation of liability reflects a fair allocation of risk between Aditya CRM and the Customer. By entering into an agreement, the Customer acknowledges that the pricing of Aditya CRM’s products and services is based on the understanding that liability will be capped as described. Without these limitations, the costs of providing CRM software and services would be substantially higher.

In conclusion, while Aditya CRM strives to deliver secure, reliable, and high-quality software and services, the Customer agrees that the Company’s liability is limited to fees paid, and that indirect, incidental, or consequential damages shall not be recoverable. This ensures clarity, fairness, and legal protection for both parties.

12. Data Provided by Clients

Aditya CRM (Devolyt Technologies Pvt. Ltd.) acknowledges and respects that all business and customer data uploaded, entered, or shared by Customers into the CRM remains the exclusive property of the Customer. The Company does not claim ownership of any such data and will only process or store this information to deliver the agreed services. This clause is designed to protect Customer rights, ensure transparency, and comply with applicable data protection regulations.

Customer Data Ownership
  • Customers remain the sole and exclusive owners of their business, operational, and customer data at all times.
  • Aditya CRM acts only as a data processor, handling information on behalf of the Customer to deliver the contracted services.
  • Ownership of data does not transfer to Aditya CRM under any circumstances, unless explicitly agreed in writing.
Customer Responsibilities
  • Customers must ensure that all data uploaded to the CRM is accurate, complete, and up to date.
  • It is the Customer’s duty to confirm that data is lawfully obtained and authorized for use under applicable laws and regulations (such as IT Act, GDPR, etc.).
